- Lernziele: 1. Rechtsquellen des Handelsrechts schildern. 2. Gewohnheitsrecht, Handelsbrauch und Allgemeine Geschäftsbedingungen ge geneinander abgrenzen. Für jeden in der Versicherungswirtschaft Tätigen sind Grundkenntnisse im Handelsrecht unerläßlich. Auf Schritt und Tritt begegnen ihm Erscheinungen, die er nur verstehen kann, wenn er wenigstens mit den Wesenzügen des Handelsrechts vertraut ist. Die Ver sicherungsunternehmen sind in aller Regel Kaufleute, wovon noch zu sprechen sein wird. An die Beteiligung von Kaufleuten knüpft das HGB seine Regeln, wie die Überschrift zum 1. Buch und § 343 zeigen. Das HGB geht somit von einem subjektiven Merkmal aus, das heißt, die Anwendung wird abhängig gemacht von einer Voraussetzung in der Person eines beteiligten Rechtssubjekts. Den Gegensatz bildet das objektive System, das auf die Natur des betreffenden Geschäfts abstellt, wie es zum Beispiel im WechselG, im ScheckG und im Seehandelsrecht der Fall ist. Welches System maßgebend sein soll, ist eine Zweckmäßigkeitsfrage. Das HGB hat sich, wie erwähnt, für das subjektive System ent schieden. Mehr und mehr dringt aber die Ansicht durch, daß eine objektive Anknüpfung, nämlich an das Unternehmen, sinnvoller wäre. Einen Schritt in die objektive Anknüpfung bedeutet § 2 HGB. Eine Annäherung der beiden Systeme wird durch eine weite Auslegung des Scheinkaufmanns oder durch Analogie zu bestimmten Vorschriften des HGB erreicht (vgl. BGH NJW 1952 S. 287 zu§ 346 HGB).
